Call for Nominations for Board of Directors

Attention all ARAPA members! We are now opening nominations for open positions on the Board of Directors starting in 2024. Open positions include:

President Elect
Vice President
Secretary
Director at Large: Northwest
Director at Large: Central
Director at Large: Southeast

Eligible PAs must be ARAPA members to run for a position, and must be an AAPA member to hold office. You may nominate yourself or a fellow PA. Please fill out this form. Nominations will be accepted until 11/3 and elections will open on 11/6. Please contact presidentelect@arkansaspa.org for any questions regarding the election process. If you are interested in a position and have questions regarding the role, please contact presdient@arkansaspa.org or contact the PA currently holding the position on the 2023 Board of Directors

President Elect:  
Term - 3 years
President Elect 2024
President 2025
Past President 2026
In the absence of the President and Vice-President, or in the event of their inability or refusal to act, the President-elect shall perform all the duties of the president and, when so acting, shall have all the powers of, and be subject to, all the restrictions on the President. In addition, the president-elect may have other powers and perform such other duties as may be prescribed by law, the articles of incorporation, these bylaws, or the Board of Directors.
● Organize and conduct, with the assistance of the secretary and directors-at-large, all annual elections. He/she shall recruit and vet potential
board of director positions for the ballot by November 1st.
● He/she will be responsible for overseeing and executing the voting process
● Succeed to the office of President at the expiration of the President’s term, or earlier if the office becomes vacant for any reason. 

Vice President:
Term - 1 year
In the absence of the president, or in the event of his or her inability or refusal to act, the vice president shall perform all the duties of the president and, when so acting, shall have all the powers of, and be subject to, all the restrictions on the president. The vice president may have other powers and perform such other duties as may be prescribed by law, the articles of incorporation, these bylaws, or the Board of Directors.
● Serve as chair for at least one special committee within ARAPA
● Together with the president, represent ARAPA with outside organizations and the media. 

Secretary:
Term - 2 years
The Secretary shall:
● Retain at the principal office of the organization or at such other place as the Board of Directors may determine:
-A record of these bylaws as amended or otherwise altered to date.
-An archival history containing the minutes of all meetings of the Board of Directors and, if applicable, meetings of committees and of membership,
recording therein the time and place of the meeting, whether it was a regular or special meeting, how it was called, how notice thereof was given, the names of those present or represented at the meeting, and the proceedings thereof.
-Membership records containing the name and address of each member, and, in the case where any membership has been terminated, record such
fact, along with the date on which such membership ceased.
-Ensure that all notices are duly given in accordance with the provisions of these bylaws or as required by law.
-Exhibit at any reasonable time to any director of the organization, or to his or her agent or attorney, the bylaws, membership records, and minutes of the
proceedings of the directors of the organization.
● In addition, the Secretary may have other powers and perform such other duties as may be prescribed by law, the articles of incorporation, these bylaws, or the
Board of Directors.
● Be responsible for all ARAPA communications.
● Notify all ARAPA members of meetings.
● Assist the President Elect and Directors-at-Large with elections.
● Coordinate with the President board meeting agenda and distribute 1 week prior to the meeting.
● Make available to board members a copy of the minutes from each previous meeting within one month of the Board of Directors meeting

Directors at Large:
Broken into districts based on the ADH Health Units. 
○ Represent assigned constituency
○ Assist President Elect and Secretary with elections
○ Serve as liaison between the Board of Directors and the constituency.
○ Serve on ad hoc committees, as assigned.
○ Chair committees, as assigned.
○ Miss no more than one Board of Directors meeting annually.
○ Maintain an active role in ARAPA.
